Job Overview
We are looking for a Secretarial Compliance Executive to support the company's corporate secretarial, statutory compliance and governance activities.The role will involve managing routine secretarial compliances, maintaining statutory records, supporting Board and shareholder-related processes, coordinating regulatory filings and assisting with corporate actions.The ideal candidate should have a good working knowledge of the Companies Act, 2013, strong documentation and drafting skills, and the ability to research and interpret regulatory requirements independently.Key Responsibilities
Secretarial & Corporate Compliance- Manage routine secretarial and corporate compliance requirements.
- Maintain statutory registers, corporate records, minutes, resolutions and other secretarial documents.
- Prepare and maintain documents required under the Companies Act, 2013 and applicable rules.
- Maintain and monitor the statutory compliance calendar.
- Assist in preparation and filing of ROC forms, returns and other statutory documents.
- Track compliance deadlines and ensure timely closure of activities.
- Coordinate Board, Committee and shareholder meetings.
- Assist in preparing notices, agendas, resolutions and explanatory statements.
- Assist in drafting and maintaining Board and shareholder meeting minutes.
- Maintain records of Board approvals, resolutions and action points.
- Coordinate with internal stakeholders and external advisors for governance-related activities.
- Support appointment/resignation of directors and other statutory changes.
- Assist with shareholding-related matters and other corporate actions.
- Prepare resolutions, declarations, letters, notices and other secretarial documents.
- Coordinate with external Company Secretaries, legal advisors, auditors and consultants.
- Support audits, due diligence and regulatory reviews.
- Ensure corporate records and documentation are complete and properly maintained.
- Monitor changes in the Companies Act, rules, notifications and applicable regulations.
- Research regulatory requirements and assess their potential impact on the company.
- Support implementation of new or revised compliance requirements.
- Maintain compliance trackers and highlight upcoming deadlines or compliance gaps.
- Assist in preparing documentation and responses for audits and regulatory reviews.
- Coordinate with Finance, HR, Legal, Compliance and other departments for required information.
- Liaise with external Company Secretaries, legal counsel, auditors and consultants.
- Follow up with stakeholders to ensure timely completion of compliance activities.
- Maintain confidentiality of sensitive corporate, legal and regulatory information.
Candidate Requirements
- 2–3 years of experience in Company Secretarial, Corporate Secretarial or Corporate Compliance functions.
- Good working knowledge of the Companies Act, 2013 and applicable rules.
- Practical experience in maintaining statutory registers and corporate records.
- Exposure to ROC filings, Board processes, resolutions, minutes and secretarial compliances.
- Strong drafting, documentation and record-management skills.
- Good regulatory research and analytical abilities.
- Strong communication and stakeholder coordination skills.
- Ability to manage multiple compliance activities and deadlines independently.
- Good working knowledge of MS Word and MS Excel.
Preferred Qualifications / Experience
- Experience in FinTech, NBFC, financial services or other regulated industries will be preferred.
- Experience with a foreign-owned subsidiary, wholly owned subsidiary or multinational group is an advantage.
- Experience coordinating with external Company Secretaries, legal advisors, auditors or compliance consultants.
- Exposure to corporate actions, director changes, shareholding matters or restructuring activities.
- CS qualification / CS Executive (Intermediate) or relevant professional qualification will be an added advantage.
