Senior Manager / AGM – Compliance Function(Role: Company Secretary & Compliance Officer)
Location
GurugramExperience Required
- Minimum 8–10 years of experience in NBFC/Banking industry, specifically in lending business.
- Strong experience in corporate governance and interaction with Independent Directors, Auditors, and RBI officials.
- Well versed with:
- RBI regulations applicable to NBFC-ICC
- FEMA regulations
- Companies Act, 2013
- Ability to handle and lead a team of professionals.
Educational & Professional Qualification
- Qualified Company Secretary (CS)
- Law Graduate from a reputed university
Desired Candidate Profile

- Candidate residing in Gurugram preferred
Key Responsibilities
1. Governance
- Ensure that the Board and various Committees are properly constituted and meetings are convened with appropriate agenda and minutes.
- Provide adequate support to various functions for preparation of agenda, notes, reports, and relevant documents for committee meetings.
- Provide timely legal and regulatory updates to Senior Management regarding new laws or amendments impacting the company’s business.
- Draft and review policies, SOPs, and governance documents required under applicable laws.
- Support internal functions by advising on applicable legal and regulatory requirements.
- Act as custodian of all company policies and maintain compliance trackers for:
- Applicable compliances
- Committees
- Policies
- Regulatory filings
- Ensure all governance records and compliance documentation remain updated.
2. Secretarial Compliance
- Resolve compliance-related issues on an ongoing basis.
- Maintain all statutory records, registers, and compliance documents.
- Support shareholders in matters related to Demat and ISIN.
- Ensure timely filing of non-financial returns and forms with ROC and other authorities.
- Ensure compliance with Companies Act, 2013 and other applicable regulations.
3. RBI Compliances
- Support RBI inspections, audits, and regulatory reviews.
- Handle and respond to ad hoc queries and notices received from RBI.
- Manage RBI regulatory portals and ensure timely filing of all applicable returns.
- Perform compliance testing and compliance risk assessments as per RBI requirements and regulatory framework.
- Monitor regulatory changes and ensure timely implementation within the organization.
4. Funding Transactions
- Provide legal and compliance support in fundraising activities including:
- Debt instruments
- ECB (External Commercial Borrowings)
- Term loans
- Other funding arrangements
- Ensure charges created on company assets are properly registered, updated, and satisfied with appropriate government authorities.
- Provide legal opinion and analytical support on various funding options and structures.
- Coordinate with external stakeholders including:
- Debenture Trustees
- Depositories (DP)
- FPIs
- Lenders
- Legal advisors
- Ensure regulatory and documentation compliance related to funding transactions.
Skills Required
- Strong knowledge of RBI regulations and NBFC compliance framework.
- Excellent understanding of Companies Act, FEMA, and corporate governance practices.
- Strong drafting, documentation, and communication skills.
- Ability to manage multiple stakeholders and regulatory authorities.
- Strong analytical and problem-solving capabilities.
- Leadership and team management skills.
